Position Description

Title: Director of Real Estate and Finance

Department: Real Estate & Finance

Reports To: Treasurer/Corporate Vice President, Finance


Function: The Director of Real Estate and Finance is responsible for overseeing the execution of real estate transactions and financing for a publicly-traded real estate investment trust investing primarily in hotels. The incumbent will manage all aspects of these transactions, including conducting due diligence, preparing and/or reviewing the transaction documents and overseeing the closing process.

Responsibilities:

  • Real Estate Transactions
    • Oversee all aspects of executing acquisitions and dispositions, including due diligence, review of documents and participating in the closing process
    • Reviews and/or negotiate the terms of all acquisition and disposition documents in conjunction with in-house and external counsel
    • Oversee the due diligence process for all transactions, including coordinating with brokers, lenders and third-party consultants
    • Manage the preparation of marketing materials and coordination of the bidding process
  • Capital Markets
    • Advise on complex financing matters such as private placements, public offerings, syndicated loans, capital structure, and rating agency presentations
    • Assist in negotiations of all financing; negotiate loan documents and oversee financing documentation and legal structuring with in-house and external legal counsel
    • Direct the loan closing process (including review of appraisals, zoning, environmental and engineering reports).
    • Assist in developing lending relationships
    • Manage the company’s debt portfolio (tracking of loan compliance with financial covenants
    • Liaise with other departments across the firm to follow-up on lender requirements
  • Other
    • Create financial models to analyze whether transactions are accretive/dilutive to the Company: acquisitions, dispositions, share buybacks and equity raises
    • Partner with the accounting department to determine possible transaction impacts to financial reporting process, annual audits, and SEC filings
    • Directly assist CFO and other senior executives on all strategic and ad hoc matters

Skills:

  • Extensive knowledge of the loan underwriting and structuring process, including due diligence and closing
  • Strong analytical/financial modeling skills
  • Strong problem solving and project management skill
  • Excellent leadership skills. Proven ability to motivate high-performing teams
  • Proven ability to effectively manage and close multiple transactions
  • Ability to work effectively as a team player with other business units within the company
  • Excellent communication and interpersonal skills
  • Strong presentation and writing skills

Education:

  • MBA or Masters degree in Finance, Economics, Accounting or related area

Experience:

  • Eight to ten (8-10) years’ progressive experience in the financial services, investment banking, transactions, or similar industry in roles of progressive responsibility
  • Five (5) years’ experience in the underwriting and/or structuring of real estate loans
  • Hospitality experience desired but not required
